Welcome to our Terms and Conditions page. This document represents a legally binding agreement between Gururo Private Limited (“the Company”), a distinguished corporation established under the laws of India, with its principal place of business located at Level 6, ITC Green Centre, 18, Dodda Banaswadi Main Rd, Harischandra layout, Jeevanhalli, Maruthi Sevanagar, Bengaluru, Karnataka 560005, and our valued affiliates (“Affiliate”). This agreement outlines the terms, conditions, rights, and responsibilities that govern the professional relationship between the Company and its Affiliates. By engaging as an Affiliate with Gururo Private Limited, you agree to comply with and be bound by the terms set forth in this agreement. We encourage you to read these terms carefully to understand your obligations and the benefits of our partnership.

RECITALS:

WHEREAS, the Company operates an affiliate program (the “Program”);

WHEREAS, the Affiliate wishes to participate in the Program under the terms and conditions set forth in this Agreement;

NON-EXCLUSIVITY

This Agreement does not create an exclusive arrangement between you (the “Affiliate”) and Gururo Private Limited (“Company”). Both parties retain the right to recommend or engage in services or products similar to those involved in this Agreement with third parties. This includes the right to collaborate with other parties for the design, sale, installation, implementation, and use of similar services and products provided by third parties.

AFFILIATE ACCEPTANCE

Upon submitting an application to become an Affiliate in the Gururo Affiliate Program, your application will undergo our review process. We reserve the right to contact you for additional information or clarification as part of this review. Additionally, we may require the completion of specific qualifications or certifications before accepting your application. If you do not receive notification of acceptance into the Affiliate Program within thirty (30) days from your application submission, your application shall be deemed rejected.

If accepted into the Affiliate Program, the terms and conditions of this Agreement will become fully effective upon your receipt of our acceptance notification. As a new Affiliate, you may also be required to meet certain enrollment criteria outlined on the Program Policies Page. Failure to fulfill these criteria within thirty (30) days of acceptance will lead to immediate termination of this Agreement, and you will be ineligible to participate in the Affiliate Program.

Acceptance into the Gururo Affiliate Program does not guarantee or imply acceptance into any other partner programs offered by Gururo, such as specialized partnership programs. Participation in any additional programs requires a separate application process and adherence to the respective program’s terms and conditions.

As an Affiliate, you are expected to comply with all terms and conditions set forth in this Agreement, including adherence to any applicable Program Policies, at all times.

YOUR RESPONSIBILITIES

As a Gururo Affiliate, you agree to the following terms:

Account Information Accuracy: It is your responsibility to provide accurate account information and to keep it updated. This includes, but is not limited to, contact details, payment information, tax information, URLs of all websites promoting Gururo, traffic sources, promotional methods, and any other details requested by Gururo. Gururo reserves the right to ask for additional information about websites where Gururo is promoted and the practices used for promotion. Failure to provide accurate information or provide the requested data may result in exclusion from the Affiliate Program, temporary suspension, or termination of your account and forfeiture of any commissions.
Good Faith Referrals: You must act in good faith to refer clients in good standing. Clients in good standing are those who have provided valid contact information, have active accounts in compliance with Gururo’s Terms of Service, and are not flagged for high fraud risk. An active account refers to referred new users who have not canceled their account within 45 days.
Avoiding Revenue Loss: You should not engage in any actions or recommendations that could result in revenue loss for Gururo.
Marketing Practices: Avoid marketing practices that attract clients not in good standing.
Respect for Intellectual Property: Do not modify, copy, or alter any banners, icons, graphics, or any other content in Gururo’s links, including altering or modifying any copyright or trademark notices, without Gururo’s prior written approval.
Prohibition on Self-Referral: You must not use self-referral methods, such as clicking on your own affiliate links or making purchases through your affiliate link. Matching IP addresses used for both affiliate panel login and purchase will be considered self-referral. The use of VPNs for purchases via the affiliate link is also prohibited. Violations may result in the loss of all accrued rewards and dismissal from the program.
No Blackhat SEO/Spam: Refrain from engaging in blackhat SEO or spam link-building techniques to generate more referrals for Gururo.
Legal Compliance: Agree to comply with all applicable laws.
Loyalty and Reputation: Remain loyal to Gururo, avoid misusing its confidence, and refrain from actions that could harm Gururo’s reputation.
Non-Advocacy of Harm: Do not advocate, promote, or encourage violence or discrimination against any person, organization, or governmental entity.
Rights of Gururo in Case of Violations: If Gururo suspects or detects patterns of violations of the Affiliate Program Agreement, it reserves the right to suspend or terminate your Affiliate account and cancel all due commission payments.
Termination for Pre-Affiliation Circumstances: If circumstances become apparent after you join the affiliate program, which would have led Gururo not to enter into an agreement with you, Gururo reserves the right to terminate the cooperation immediately and/or withhold payment for the previous period.

AFFILIATE ADVERTISING

As a Gururo Affiliate, you are permitted to use only those promotional materials that are approved by Gururo in your advertising efforts. Approved promotional materials are those provided in your Affiliate Area. These materials may include Gururo’s trademarks, service marks, logos, and slogans for display on your Affiliate Website. By agreeing to this Affiliate Agreement, we grant you a non-exclusive, limited, and non-transferable license to access, download, and place the approved promotional material on your website solely to promote websites operated, controlled, and owned by Gururo.

Should this Affiliate Agreement be terminated by any party, your license to use Gururo’s promotional materials will be immediately and automatically revoked.

Inappropriate Advertising Methods Include, But Are Not Limited To:

Illegal or Spam Advertising: This includes unsolicited email, unauthorized placements on forums, newsgroups, message boards, etc.
Restricted Paid Advertising: Using Pay per Click (PPC) or Pay per Impression campaigns without our prior approval. Bidding on keywords containing “Gururo” or similar variations on search engines without approval is prohibited. You may not use Gururo’s websites as display URLs in paid media ads or direct-link to Gururo’s websites.
Copyright Infringement: Promoting Gururo using non-unique, copyright infringing content is not allowed.
Prohibited Traffic Generation: Generating traffic through pay-to-read, pay-to-click, banner exchanges, click exchanges, PPV advertising, pop-up/under, or similar methods is not permitted.
Unauthorized Incentives: Offering cashbacks, rewards, or any incentives to obtain sales without our prior approval is forbidden.
Discounts and Vouchers: You may not offer price savings, coupons, vouchers, or discount codes without our prior approval.
Negative Representation: Avoid using Gururo’s advertising materials, trademarks, or name in a way that negatively affects our image.
Cookie Stuffing: Using iframes or other techniques that place your affiliate tracking cookie by means other than an actual click-through is prohibited.
Link Cloaking: Do not use cloaking or masking techniques to hide the origin of your traffic or to promote Gururo on unapproved websites or networks.
Content Restrictions: Your website(s) must not contain objectionable material, including lewd, obscene, illegal, pornographic, or any content deemed objectionable by Gururo. This also includes materials promoting bigotry, hatred, or any form of discrimination.
Trademark Misuse: Your domain name(s), company name, logo, trademark, products, projects, services must not contain keywords and phrases containing “Gururo” or variations thereof without prior approval. Also, avoid using third-party trademarks unless authorized.

Gururo reserves the sole right to determine the appropriateness of your promotional methods. The use of any advertising method deemed inappropriate by us may result in a warning, suspension, or termination of your affiliate account, and cancellation of all outstanding commission payments. Additionally, disrespectful or offensive communication with the dedicated affiliate manager will result in a permanent ban from the Affiliate Program.

AFFILIATE TRACKING COOKIES

At Gururo, affiliate sales are tracked automatically using cookies. These cookies are placed in the browser of a user when they click on an affiliate link leading to our website. Here’s how it works:

Cookie Duration: Each cookie placed through your affiliate link is stored for up to 30 days in the user’s browser. This means that if the user makes a purchase on our site within this period, you will receive credit for the sale.
Overwriting Cookies: If a user already has an affiliate cookie from another affiliate in their browser and then clicks on your affiliate link, the existing cookie will be overwritten with yours. This ensures that the most recent referral is credited for any sales.
User-Initiated Cookie Deletion: If a user intentionally deletes their cookies, we cannot track those sales back to an affiliate. In such cases, Gururo is not responsible for the loss of tracking information. Affiliates should be aware that some users regularly clear their cookies, which can impact tracking.

It is important to note that the effectiveness of cookie-based tracking can be influenced by various factors, including user behavior and browser settings. As an affiliate, you should be aware of these limitations and understand that Gururo cannot guarantee the tracking of every referral due to these external factors.

AFFILIATE COMMISSION STRUCTURE AND PAYMENTS

As a Gururo Affiliate, you will be categorized into one of four tiers based on your performance, with each tier offering different commission rates:

Bronze Affiliate: Earn a 10% commission.
Silver Affiliate: Earn a 15% commission.
Gold Affiliate: Earn a 20% commission.
Platinum Affiliate: Earn a 25% commission.

Commission Calculations:

Commissions are calculated on the net sales value of qualified referrals, excluding any returns, cancellations, taxes, fees, and additional services.
For example, if a client purchases a Gururo 60 PDU pack for $100 (including taxes), and the applicable VAT is 20%, your commission is calculated as follows: ($100 – $20 (VAT)) * [Applicable Commission Rate].

Payment Processing:

Payments are processed monthly, following a 30-day refund window for courses.
The minimum payout threshold is 25 USD.
Payment methods: Bank transfer in INR for Indian affiliates, and PayPal/Stripe in USD for international affiliates.

Adjustments and Disputes:

Gururo reserves the right to modify the commission structure and calculation methods at any time.
If you have any disputes regarding your commission, you must contact us at support@gururo.com within 30 days of the commission report or the date of the event in question.
Failure to dispute within this time frame will be considered as acceptance of the commission amount.

Refunds and Fraudulent Transactions:

Commissions will not be credited for purchases that are cancelled or refunded within 45 days.
Gururo reserves the right to review all transactions for potential fraud. During investigations of possible fraud or illegal activities, we may withhold payment for up to 180 days.
Transactions that comply with the terms of the Agreement and applicable laws and regulations will be eligible for commission.

Expiration of Commissions:

Commissions that remain unclaimed or not withdrawn for over 2 years will be forfeited and removed from your affiliate account balance.

RELATIONSHIP OF THE PARTIES

Both the Affiliate and Gururo Private Limited acknowledge and agree that they are entering into this Affiliate Agreement as independent contractors. This agreement does not establish any form of partnership, agency, franchise, joint venture, sales representative, or employment relationship between them.

As an Affiliate, you are not authorized to make or accept any offers or representations on behalf of Gururo. You must not make any statements, either on your website or through other channels, that could be interpreted as contradictory to this section or imply a different kind of relationship between you and Gururo.

The independent contractor status is fundamental to the arrangement between Gururo and its affiliates, ensuring that both parties retain their separate legal and business identities. Affiliates should conduct their business activities in a manner that reflects this independence and should not represent themselves as agents or employees of Gururo.

ACCOUNT TERMINATION

Affiliate-Initiated Termination:

As an Affiliate of the Gururo Affiliate Program, you have the right to cancel and terminate your account at any time. To do so, simply contact us through the Affiliate Area.
Upon your request for termination, Gururo will send a confirmation that your account has been terminated as requested.

Gururo-Initiated Termination:

Gururo reserves the right to terminate an affiliate account with a seven-day notice without providing any explanation.
Gururo may also terminate an affiliate account immediately and without prior notice if the account, or the Affiliate, violates the Affiliate Program Terms and Conditions.

Post-Termination Consequences:

After your affiliate account is terminated, Gururo will no longer track sales associated with your affiliate ID, and you will not qualify for future Commissions.
Accounts showing no new conversions for the last six months will be considered inactive and may be marked as dormant.
If any Commissions are due at the time of termination, they will be paid to the Affiliate after any applicable holding period and in accordance with the regular payout cycle. However, if your account is terminated due to violations of the Terms and Conditions, no outstanding Commission payments will be due, and an administrative fee of 125 USD (or the equivalent in the currency listed in your Affiliate Area) may be charged.

Obligations Upon Termination:

Upon termination of your Affiliate account, you are required to remove all promotional materials, links, logos, trademarks, and slogans related to Gururo from your website within three business days.
This obligation survives the termination of the Affiliate Agreement.
After termination of this Agreement, you no longer have the right to use any of Gururo’s trademarks, logos, and slogans and must refrain from any actions that could negatively impact Gururo’s reputation or business relationships.

Effect of Termination:

The termination of your Affiliate account automatically results in the termination of this Affiliate Agreement.

CONFIDENTIAL INFORMATION

Each party acknowledges that, in the course of the Gururo Affiliate Program, it may access Confidential Information of the other party. “Confidential Information” includes all documentation and information designated as “proprietary” or “confidential” by the disclosing party (the “Disclosing Party”), or which the receiving party (the “Receiving Party”) should reasonably consider confidential. This encompasses technical, business, marketing, and operational information shared in connection with this Affiliate Agreement.

Confidentiality Obligations:

For the duration of the Agreement and five (5) years thereafter, each Receiving Party agrees to:

Keep the Disclosing Party’s Confidential Information in strict confidence, using at least the same degree of care as for its own Confidential Information.
Not disclose or make available the Disclosing Party’s Confidential Information to third parties.
Use the Confidential Information solely for fulfilling obligations or exercising rights under this Affiliate Agreement.
Disclose the Confidential Information only to employees or affiliates who need to know for the purposes of this Agreement.

The Receiving Party may disclose Confidential Information if required by law or court order, provided it notifies the Disclosing Party promptly and cooperates with them in any lawful action to contest or limit the scope of such required disclosure.

Exceptions:

The obligations of confidentiality do not apply to information that:

Is or becomes publicly available without the Receiving Party’s breach of any obligation owed to the Disclosing Party.
Was known to the Receiving Party without confidentiality restrictions prior to its disclosure by the Disclosing Party under this Agreement.

GOVERNING LAW

Any controversy, claim, or dispute arising under this Affiliate Agreement shall be resolved according to the jurisdiction and legislation of Bangalore, Karnataka, India, where Gururo Private Limited is located.

CHANGES TO THE AFFILIATE PROGRAM TERMS

Gururo reserves the right to modify the terms of this Affiliate Agreement at any time.
Amendments or supplements to the Agreement are effective immediately upon posting on the Gururo website. The current terms will always be available on Gururo’s website.
If an Affiliate disagrees with any amendments or supplements, they may cancel their account within 10 business days from the date of the changes.
Only an official Gururo officer is authorized to make amendments or supplements to this Agreement. No other representations, oral or written, shall alter the terms of this Agreement.
